Job Description

Our client is seeking an experienced and business-minded Real Estate Legal Counsel to provide in-house legal oversight for their acquisition activities. As their Legal Counsel, you will manage all legal aspects of the transaction lifecycle, from contract negotiation through closing. You will be responsible for drafting and reviewing key legal documents, managing legal due diligence, and providing strategic advice to mitigate risk and ensure the successful closing of our Florida real estate investments.

Key Responsibilities:

  • Draft, review, and negotiate Purchase and Sale Agreements (PSAs), letters of intent (LOIs), and related transaction documents.

  • Lead the legal due diligence process, including comprehensive review of title commitments, surveys, zoning reports, environmental reports, and tenant leases.

  • Advise the acquisitions team on legal risks and strategies for structuring deals.

  • Manage the formation and maintenance of property-owning entities (e.g., LLCs) and ensure corporate governance compliance.

  • Oversee the closing process for all acquisitions, working closely with title companies, sellers' counsel, and lenders to ensure all legal requirements are met.

  • Draft and negotiate other commercial real estate agreements, such as loan documents, property management agreements, and service contracts.

  • Manage relationships and workflows with outside counsel on specialized matters as needed.

Qualifications:

  • Juris Doctor (J.D.) degree from an ABA-accredited law school.

  • Must be a member in good standing of the Florida Bar.

  • 4-6 years of direct legal experience in commercial real estate transactions, either at a reputable law firm or in-house with a real estate company.

  • Extensive experience drafting and negotiating PSAs for Florida real estate.

  • Deep expertise in title, survey, and other real estate due diligence matters.

  • Strong business acumen with the ability to provide pragmatic, solutions-oriented legal advice.

  • Excellent negotiation, analytical, and drafting skills.

  • Ability to manage a high volume of transactions in a fast-paced environment.

 

$110,000.00/yr.
